Terms of Service

These Terms of Service ("Terms") govern your use of the Cantrip platform and services (the "Service") operated by Austin King, a sole proprietorship based in Seattle, Washington, USA ("Cantrip," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Cantrip is a go-to-market advisor for technical founders. The Service includes AI-powered features such as customer persona development, competitive analysis, positioning and messaging frameworks, channel strategy, and go-to-market playbooks — delivered via a web dashboard and MCP server integration.

2. Accounts

2.1 Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years old.

2.2 Account Security

You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at austin@cantrip.ai if you suspect unauthorized access.

2.3 Account Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

3. Credits and Billing

3.1 Credit System

The Service uses a credit-based pricing model. Different operations consume different amounts of credits. Credit costs for each operation type are displayed in the Service before you take action.

3.2 Purchasing Credits

Credits may be purchased as one-time packs. Prices are listed on our website and are subject to change with 30 days' notice.

3.3 Credit Expiration

• Purchased credit packs expire 12 months from the date of purchase.
• Promotional or free credits expire 90 days from the date of issuance.

3.4 Refunds

• Credit packs: Purchased credit packs are non-refundable once credits have been consumed. If no credits from a pack have been consumed, you may request a full refund within 14 days of purchase.
• Exceptional circumstances: We may, at our sole discretion, issue partial or full refunds outside these policies on a case-by-case basis. Contact austin@cantrip.ai.

If your account is terminated for violation of these Terms, no refund will be issued for unused credits.

3.5 Billing

All payments are processed by Stripe. By purchasing credits, you agree to Stripe's terms of service. All prices are in US Dollars (USD) unless otherwise stated.

4. Ownership of Content

4.1 Your Content

You retain full ownership of all content you create, upload, or generate using the Service, including but not limited to: project data, specifications, agent-generated code, strategies, documents, and other outputs ("Your Content").

We claim no intellectual property rights over Your Content. You may use, modify, distribute, or commercialize Your Content without restriction.

4.2 License to Operate

By using the Service, you grant Cantrip a limited, non-exclusive, worldwide license to process Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

4.3 Data Export

You may request a full export of Your Content at any time by contacting austin@cantrip.ai. We will provide your data in a standard, machine-readable format within 30 days.

4.4 AI-Generated Output

Output generated by AI agents within the Service is part of Your Content and is owned by you. Cantrip makes no claim to AI-generated output. However, we cannot guarantee that AI-generated output is unique, non-infringing, or free of errors. You are responsible for reviewing and validating all AI-generated output before use.

5. Acceptable Use

You agree not to use the Service to:

1. Violate any applicable law or regulation
2. Infringe on the intellectual property rights of others
3. Generate, store, or distribute malicious code, malware, or exploits
4. Harass, abuse, or harm others
5. Attempt to gain unauthorized access to the Service or its infrastructure
6. Circumvent credit limits, rate limits, or other usage controls
7. Resell, sublicense, or redistribute access to the Service without our written consent
8. Interfere with or disrupt the Service or its infrastructure
9. Use the Service in any manner that could damage, disable, or impair the Service

5.1 Competitive Use Restriction

You may not use the Service to develop, train, or operate a product or service that is substantially similar to or competitive with Cantrip. This restriction applies to the use of Service features, outputs, and system design knowledge gained through use of the Service. For clarity, this does not restrict your right to build competing products independently -- it restricts using Cantrip itself as a tool to do so.

6. Service Availability

6.1 No Uptime Guarantee

The Service is provided on an "as available" basis. We do not guarantee any specific uptime, availability, or performance level. We will make reasonable efforts to maintain the Service but may experience downtime for maintenance, updates, or unforeseen issues.

6.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes that affect your use, we will provide reasonable notice (at least 30 days for paid features).

7. AI and Automated Systems

7.1 Nature of AI Output

The Service uses artificial intelligence to generate code, strategies, analyses, and other content. AI output may contain errors, inaccuracies, or biases. You acknowledge that:

• AI-generated output requires human review before use in production
• We do not guarantee the accuracy, completeness, or fitness of AI output
• You are solely responsible for validating and using AI-generated output
• AI output should not be relied upon for legal, medical, financial, or safety-critical decisions without independent professional review

7.2 No Warranty of AI Performance

AI capabilities may vary over time as underlying models are updated. We do not guarantee consistent AI performance or output quality across sessions or updates.

8. Intellectual Property

8.1 Our IP

The Service, including its design, code, features, documentation, and branding, is owned by Cantrip and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback for any purpose without obligation to you.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI-generated output.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Cantrip and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the total amount you paid to Cantrip in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Cantrip and its owner from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or your use of AI-generated output

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in King County, Washington, USA. You consent to the personal jurisdiction of these courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. For changes that materially affect your rights or obligations, we will provide at least 30 days' notice via email.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cantrip regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for failure to perform due to circumstances beyond our reasonable control.
